We are looking for an exceptional securities reporting attorney to join our Corporate Legal team as Associate General Counsel, Corporate.
What you’ll be doing (ie. job duties):
- Provide first line advice and counsel on securities law matters, including preparing or managing all SEC filings such as Forms 10-K, 10-Q, 8-K, S-8, Proxy Statements, and Section 16 reports.
- Collaborate with the Investor Relations and Finance teams on the quarterly earnings process and annual stockholder meeting.
- Manage SEC and Nasdaq reporting and compliance activities; provide advice, make recommendations, and develop and update policies and procedures relating to disclosure obligations and corporate compliance for NASDAQ-listed company.
- Monitor and analyze regulatory developments and best practices in the securities and corporate governance subject matter areas and drive compliance activities and education within the Company in response to such developments.
- Advise on and administer corporate and executive policies and programs, such as the insider trading policy, trading plan policy, equity plans, and 10b5-1 plans.
- Willingness to roll up sleeves (no job too big, no job too small).
What we look for in you (ie. job requirements):
- 10+ years of corporate law experience, with particular focus on securities law and corporate governance compliance, including at a publicly-traded company and a top law firm
- Deep understanding of the 33’ Securities Act and 34’ Exchange Act
- Must be active and in good standing in one State Bar in the United States, preferably in California or New York
- Excellent interpersonal and communication skills, including ability to communicate information effectively internally and externally and to drive cross-functional alignment and action
