MAIN DUTIES/RESPONSIBILITIES OF THE ROLE:
Essential Responsibilities
- Supporting the Company Secretarial team in organising board and committee meetings for Group entities, including liaison with board/committee members to make suitable arrangements for attendance.
- Organising the production and distribution of board packs to directors and relevant contributors
- Maintaining statutory records and preparing all necessary tax and statutory returns to the various authorities and regulators.
- Managing ratification/signing/filing of documents tabled at meetings.
- Monitoring completion of matters arising from board meetings and board resolutions.
- Liaising with internal and external counsel, auditors and directors.
- Ensuring that all company secretarial activities are carried out in compliance with legal and regulatory requirements.
- Assisting with compliance related activities of group entities reviewing files and maintaining the companies in good standing in their respective jurisdictions.
WORK EXPERIENCE/BACKGROUND:
Essential
- Strong educational background
- At least 3 years company secretarial department background
- Attained [or be studying towards] ICSA qualifications, i.e. Diploma in Corporate Governance
Desirable
- Previous experience working in fund sector.
TECHNICAL/BUSINESS SKILLS & KNOWLEDGE:
Essential
- Possesses a good appreciation of company law concepts
- Good standard of oral and written communication skills with specific emphasis on drafting of board meetings.
Desirable
- To know and understand regulatory requirements relevant to the Jersey fund industry

- Self-motivated with a strong desire to deliver a quality service with excellent time management and organisational skills
- Can take ownership of problems and see them through to resolution
- Ability to work autonomously according to instructions with close attention to detail
